Company Name: Cultured&Co Ltd
By signing up as a Builder or Legacy member of Cultured&Co ("the Company"), you ("the Member") agree to the following Terms and Conditions. Please read them carefully before joining.
1. Membership Agreement
1.1 Membership in Cultured&Co is a voluntary subscription that provides access to lectures, workshops, courses, networking opportunities, and other member benefits.
1.2 Builder and Legacy memberships include participation in the Company's Ownership Points Programme, as outlined below.
2. Ownership Points Programme
2.1 Builders and Legacies may become eligible to earn Ownership Points through the Company's rewards system.
2.2 Eligibility is conditional on maintaining an active membership for a minimum of 24 consecutive months.
2.3 Ownership Points are earned based on engagement activity, including attending events, completing courses, referring new members, and contributing to community initiatives.
2.4 The maximum individual allocation shall not exceed the equivalent of 0.5% Ownership Points within the total membership pool.
2.5 Ownership Points are non-transferable, non-voting, and do not represent direct company shares. They are a symbolic measure of participation and contribution, used to calculate potential dividend rewards.
2.6 If a Member leaves after earning Ownership Points, they retain their record of points, but future dividend reward eligibility may be reduced unless they remain actively engaged in the community.
3. Dividends (Reward Payouts)
3.1 Dividends, if declared, will be distributed annually as reward payouts to eligible members based on their Ownership Points balance.
3.2 Dividend rewards are capped at up to 20% of company profits in any given year, provided profits exceed £1 million.
3.3 The Company reserves the right to adjust or withhold dividend payouts where profits fall below the operational threshold required to sustain growth and impact.
4. Member Obligations
4.1 Members agree to:
- Actively participate in at least one learning or community activity per quarter.
- Abide by the Cultured&Co community code of conduct.
- Contribute to a culture of respect, collaboration, and inclusivity.
4.2 Failure to maintain good standing may result in suspension of membership or forfeiture of eligibility for Ownership Points and/or dividend rewards.
5. The Cultured&Co Trust
5.1 A fixed percentage of company profits will be allocated annually to The Cultured&Co Trust, which funds grants, scholarships, and community innovation projects.
5.2 Members may apply for funding through the Trust, subject to separate eligibility criteria and approval.
6. Digital Agreement
By signing up digitally to a Builder or Legacy membership, the Member acknowledges and agrees to these Terms and Conditions. This digital agreement carries the same legal effect as a signed written agreement.
7. Amendments
The Company reserves the right to update or amend these Terms & Conditions. Members will be notified in advance, and continued participation constitutes acceptance of the updated terms.
Cultured&Co Member Code of Conduct
At Cultured&Co, we're more than a membership — we're a community. To keep our space safe, inclusive, and impactful, every member must uphold the following principles:
8. Code of Conduct
8.1 Respect & Inclusivity - Treat all members with kindness, respect, and professionalism. Embrace diversity of background, age, gender, culture, and ideas. Create space for different voices — no one dominates; everyone contributes.
8.2 Collaboration Over Competition - Approach others with generosity, openness, and curiosity. Share knowledge and opportunities rather than gatekeeping. Honour commitments and agreements, whether formal or informal.
8.3 Integrity & Transparency - Be honest and clear about your intentions. Respect confidentiality when members share personal or business information. Avoid exploitation — Cultured&Co is not a platform for self-promotion at the expense of others.
8.4 Active Participation - Engage in at least one learning, networking, or community activity per quarter. Contribute positively to discussions, workshops, and projects. Celebrate others' successes and uplift the community.
8.5 Shared Responsibility - Help maintain a safe, supportive environment both online and offline. Report behaviour that goes against our values. Remember: Cultured&Co is about building legacy together, what you put in shapes what we all get out.
